THE VISUAL ARTIST AWARDS (“VAA”)
2018 OFFICIAL RULES & REGULATIONS
CONTEST: The Visual Artist Awards Contest (“Contest”) is produced by Visual Artist Academy, LLC, d/b/a Visual Artist Awards (“VAA” or “Sponsor”) a Florida limited liability company.
ELIGIBILITY: The Contest is open to all individuals and organizations (“Entrant” or “Entrants”) throughout the world that abide by these Rules & Regulations so long as participation does not contravene any local or state laws of the Entrant(s). By participating in the Contest, Entrants agree to be bound by these Official Rules & Regulations and the decisions of the Sponsor/Judges. Sponsor’s decisions are final on all matters relating to the Contest and are not subject to review or appeal. By completing an application the Entrant acknowledges that such material will be used by Sponsor on the terms set out herein. Entrants may be required to supply additional material for any promotional publication and exhibitions held prior to, during or after the Contest.
CONTEST PERIOD: Eligible Entrants may submit Entries at any time between 12:00 a.m. Eastern Time (“ET“) on May 1, 2017 and 11:59 p.m. ET on December 31, 2017 (the “Contest Period”).
All Entries must adhere to the Entry Guidelines indicated below, as determined by Sponsor in its sole discretion.
ENTRY GUIDELINES:
Entry must be no less than 30 seconds and no longer than 4 minutes in length.
Entry must be in one of the following formats: .mpeg, .mpg4, .avi, .mov, .flv or .wmv. and uploaded via Vimeo and accessible by VAA through a secure link.
Entry must not (and Entrants represent and warrant that it will not), violate or infringe any third-party copyright, trademark, trade dress, or other proprietary right of any entity or person (living or deceased), including but not limited to rights of privacy, publicity or portrayal in a false light.
Any Entry deemed inappropriate or unsuitable, in Sponsor’s sole discretion, will be disqualified.
Entry must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
By submitting an Entry, you understand that if your Entry is chosen, it will be used in and posted on Sponsor’s promotional and marketing materials and used in and posted on promotional and marketing materials for the Contest, subject to the license granted herein.
It is the responsibility of the Entrant to ensure that the Entrant has the rights to use the intellectual property / content of all material entered in the Contest and Entrant represents and warrants that it owns all right title and interest in the content or has the full authority of any person, persons or entity holding any such title and interest. At the request of Sponsor, Entrant shall immediately provide written documentation to substantiate the above.
Sponsor reserves the right to request additional information about any Entrant or Entry and reserves the right to refuse any Entry, at its sole discretion.
Multiple companies may be credited for their contribution to the work entered. It is the responsibility of the entrant to ensure that all contributing companies are credited on the entry form before finalizing the submission.
All entry forms must be completed in full, online, at www.visualartistawards.com.
Entries will not be considered completed until the application has been completed in full. Once an Entry is received, Entrant may not supplement, amend or otherwise modify such Entry and Sponsor will not update the submission with a more recent version.
In no event will more than the stated number of prizes be awarded.
Non-compliance with any of the Rules & Regulations will result in automatic disqualification of the entry.
Sponsor is not responsible for technical, hardware, software or telephone malfunctions or failures of any kind, including any injury or damage to any person’s computer related to or resulting from participating in the Contest, lost, late stolen, misdirected, damaged, incomplete and/or garbled Entries. Sponsor is not liable in the event your Entry is not captured due to the aforementioned reasons. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the Entry process or the operation of the Contest; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right to cancel the Contest and determine the winners based on the judging criteria (and votes, as applicable) in accordance with these Official Rules.
Entrants or companies who deliberately and knowingly contravene any rules relating to eligibility may be barred from entering the awards.

The following categories are available for submission. The VAA maintains the right, in its sole discretion, to adjust the title and number of categories as may be necessary.

Best Mapping by Student (must be actively enrolled in school)
ENTRANTS, JUDGING & WINNERS
The award-winning entries will be selected by a committee appointed by Sponsor.
Contest winners will be announced on July 1st, 2018.
Except as provided herein, Sponsor has no obligation to disclose any of the following information: i) identities of screeners or judges; ii) notes, feedback, or information relating to Entries; and/or iii) details regarding the Entry review or selection process and/or the determination of awards.
Sponsor explicitly disclaims any liability or responsibility for any comments, notes, or opinions expressed about a submission, whether by Sponsor or by its volunteers, affiliates, employees or partners.
Winners receiving prizes are solely responsible for payment of all applicable local, state, and federal taxes. Winners may be required to participate in any media interviews, at the sole discretion of VAA, with no additional compensation. Depending on Entrant(s) country of residence, taxes may also be due to one or more jurisdictions.
In the event of a win, any duties, fees and charges accrued from the transporting of the Vizzy, will be covered by the recipient, not the VAA.
INTELLECTUAL PROPERTY RIGHTS and INDEMNIFICATION
The Visual Artist Awards, Vizzy, and other intellectual property are owned by Sponsor and the Sponsor’s rights will be vigorously enforced.
By submitting an Entry, Entrant agrees to indemnify, hold harmless, and defend Sponsor, its employees, directors, representatives, and affiliates from any liability, claims, and damages in connection with the Entry, including but not limited to any third-party claims relating to infringement of any intellectual property rights and from all fees and expenses, including reasonable attorneys’ fees, that Sponsor may incur in connection therewith.
RELEASE AND GRANT OF RIGHTS
By submitting an Entry into the Contest, Entrant hereby irrevocably grants Sponsor, its successors and assigns, a permanent, royalty-free, non-exclusive license to reproduce, publicly perform, stream, exploit and otherwise use the Entry for any reason whatsoever, including but not limited to advertising, marketing, publicity, promotion and exploitation of the Sponsor and/or the Contest. Without in any way limiting the foregoing, Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Entry for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have therein. Sponsor shall have the right to freely assign its rights hereunder, in whole or in part, to any person or entity. Entrant also hereby grants Sponsor an unrestricted, worldwide, perpetual, irrevocable, fully paid-up, royalty-free, fully sub-licensable and transferable right to use its name, likeness and biographical information in any media, format or technology, whether now known or hereafter discovered for any reason whatsoever, including but not limited to advertising, marketing, publicity, promotion and exploitation of the Sponsor and/or the Contest. Entrant waives any right to inspect or approve uses of the Entry or to be compensated for any such uses. Entrant may include Entry in his/her personal portfolio after the Contest Period.
REPRESENTATIONS AND WARRANTIES
Each entrant represents and warrants that he or she has read, understands and will follow these Official Rules. Entrants further represent and warrant that their Entry and all materials and matter therein: (1) are wholly original with Entrant and are not a copy or imitation of any other material, except for elements that are within the public domain or for which Entrant has secured adequate releases and/or permissions; (2) will not infringe or violate any right whatsoever, including, without limitation, any personal rights (e.g., defamation, privacy, false light, moral right, etc.) or any property rights (e.g., copyright, trademark, right to ideas, etc.) of any person or entity and the use thereof will result in no third party liability or obligations; and (3) is not the subject of any threatened or pending litigation, claim or dispute that might give rise to litigation, which adversely affects or in any way prejudices, impairs or diminishes the rights granted hereunder or the value thereof. Each Entrant further represents and warrants that he or she has the right to agree to and fully perform consistent with these Official Rules and the consent of no third parties are required to grant the rights hereunder. Entrant further acknowledges and agrees that he/she has not previously granted, assigned or otherwise hypothecated his/her Entry to any other third party. Further, each Entrant represents and warrants that Sponsor’s use of any Entry shall not violate an agreement to which such Entrant has signed. Entrants agree to indemnify and hold Sponsor harmless from and against any third party claim, to the extent relating to any breach or alleged breach of any representation, warranty or covenant made by Entrant in connection with his or her acceptance of these Official Rules.
NATURE OF RELATIONSHIP/WAIVER OF EQUITABLE RELIEF
Each Entrant hereby acknowledges and agrees that the relationship between the Entrant and Sponsor is not a confidential, fiduciary, or other special relationship. Entrant also acknowledges that many ideas may be competitive with, similar or identical to its Entry in theme, idea, design, plot, format or other respects and Entrant acknowledges and agrees that it is not entitled to any compensation as a result of Sponsor’s use of any such similar or identical material. Each Entrant acknowledges and agrees Sponsor does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright or other rights Entrant may claimin connection with its Entry.
NO OBLIGATION TO USE
Sponsor shall have no obligation (express or implied) to use or to otherwise exploit any Entry and Sponsor may abandon use of an Entry at any time and for any reason.
DATES & DEADLINES/ANTICIPATED NUMBER OF ENTRANTS
Because of the unique nature and scope of the Contest, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any deadline(s) set forth in these Rules or otherwise governing the Contest. Sponsor cannot accurately predict the number of Entrants who will participate in the Contest.
FURTHER DOCUMENTATION
If Sponsor shall desire to secure additional documents as Sponsor may reasonably require in order to evidence or effectuate the rights granted in these Official Rules, then each Entrant agrees to deliver the same upon Sponsor’s request.
GOVERNING LAW/JURISDICTION
The construction, validity, interpretation and enforceability of these Official Rules and/or the rights and obligations of Entrants or Sponsor in connection with the Contest shall be governed by and construed in accordance with Florida law, without respect to conflict of laws principles. You expressly agree that exclusive jurisdiction for any dispute with Sponsor relating to the Contest, an Entry or Entrant’s rights and obligations under these Rules is within the Federal or state courts within the State of Florida and further agree and expressly consent to the exercise of personal jurisdiction in the courts of Dade County, Florida in connection with any such dispute.
